Criteria of making payments to Non-Executive Directors

The company has been paying commission @ 1% of the net profits of the company, computed under section 197/198 of the Companies Act, 2013 to the Non Executive Directors as per the necessary approvals / sanctions obtained at that time and further approval of the shareholders obtained by way of a special resolution in the Annual General Meeting for continuation of the same. Non Executive Directors are also paid Sitting Fee @ Rs.9,000/- per meeting besides out of pocket expenses / traveling expenses incurred in connection with attending the said meeting.
